Control
Products, Inc. was founded in 1946 as a wholly owned subsidiary
of Calculagraph Co. Calculagraph was founded in 1871 to manufacture
parts for pocket watches. Later, Calculagraph manufactured time
clocks used by the phone company to record the elapsed time of
long distance phone calls. Calculagraph clocks are still in use
in a number of countries and industries.
Control
Products first sales were to the US government in military
applications. Switches designed by CPI continue to be used extensively
in military equipment. The ability of our switches to meet military
requirements, combined with their reliability and repeatability,
make them ideal for the most demanding, quality oriented industrial
manufacturers.
Today,
Control Products, Inc. is an operating division of Calculagraph
Co., which is privately held. Products continue to evolve to satisfy
specific customer applications in a many different industries.
In addition, new technology drives the development of future product
lines.
Many
products have been derived from customer applications, where off-the-shelf
solutions would not do the job. This history of customer derived
applications has translated into the customer focus that drives
the activities of the company.
By
applying some powerful operational principles, CPI has created
a viable formula for long-term relationships with its OEM customers.
The two aspects that have greatly enhanced CPI's value to the
OEM are project management and absolute customer focus.
Factory-based
Regional Project Managers work with your engineers to understand
your application requirements and create the most reliable, economical
component or subassembly solutions.
CPI's
use of project management was a by-product of restructuring the
selling and engineering functions. Factory based Regional Project
Managers manage projects on behalf of their customers and design
engineers manage projects involving new product releases. Coordinating
design concepts, test programs, and prototypes are among the services
provided to OEM customers.
A
key measure of success is the customer's perception of Control
Products, Inc. as an extension of their engineering department.
Application parameters gathered by the Regional Project Manager,
together with your program requirements form the basis of project
plans. Responding to requests for rapid turn around on design
concepts (same day) and prototypes (48 hours) are key aspects
to our goal to be the company that provides the highest level
of service.

In the commercially accepted meaning of a firm order, it is considered
that the Customer has contracted for the entire quantity of the
order upon acceptance by Control Products, Inc. Any cancellation
may be subject to a cancellation charge determined by Control
Products, Inc.
2.
Blanket orders will be accepted for a maximum of one year, unless
other arrangements have been made and confirmed in writing by
an authorized representative of Control Products, Inc. The minimum
release quantity is equal to the order quantity or as specified
by the applicable quotation or Control Products, Inc. sales order
acknowledgment.
3.
Terms of sale are subject to Control Products, Inc. credit policy,
ISO-A-001. FOB is East Hanover, NJ. Payments are to be made in
US dollars, payable through a US bank. In the event of noncompliance
with the aforementioned payment terms, the customer is responsible
for any costs incurred by Control Products, Inc. to collect any
unpaid balance. Costs may include but are not limited to reasonable
legal fees, court costs, collection fees and compounded interest
at the rate of 1.5% per month on the unpaid balance.

Any discrepant material may be returned to Control Products, Inc.
for analysis. Please call in advance of returning material for
an RG number, and reference that RG number on your shipping container.
Additional
debit charges from the customer related to discrepant material
beyond the invoice price of the material (e.g. for field replacement
performed by the customer, or for any other corrective action
allegedly related to the discrepant material) will not be honored.
5.
Please file claims for shortages of quantities shipped within
30 days from date of shipment.
6.
A minimum order of $100 applies for all products ($250 for credit
card orders).
7.
All quotations are firm for 60 days from the date of the quotation
unless otherwise specified on the quotation.
8.
Products are inspected to the applicable CPI installation drawing.
9.
Special customer certificates/documentation requirements may require
an additional charge.
10.
Unless otherwise specified, all packaging and container marking
is based on standard commercial practices. Special requirements
will be quoted separately.
11.
Source Inspection -- Government Source/Customer Source inspection
may require an additional charge.
12.
Warranty -- Control Products, Inc. standard warranty is 2,000
service/flight hours or one year from date of sale, whichever
is attained first.
13.
Control Products, Inc. may provide information to our customers
in the form of drawings, test results, control plans, FMEAs performance
data, or any other technical documents. The customer agrees to
treat any information received from Control Products, Inc. as
proprietary and agrees not to release that information to third
parties without Control Products, Inc. prior written consent.
14.
Control Products, Inc. will provide a first article inspection
report when specified by the customer for an additional charge.

Proper application of any product sold by Control Products, Inc.
is the responsibility of the user.
